Leonis Principal, Inc. (d/b/a “Leonis Partners”) and The Jordan Edmiston Group, Inc. (d/b/a “JEGI CLARITY,” and together with Leonis Partners, the “Parties”) have entered into a proposed combination agreement (the “Transaction”). The Transaction is subject to approval by the Financial Industry Regulatory Authority (“FINRA”) and in the UK by the Financial Conduct Authority (“FCA”). Sandow Media (www.sandowmedia.com), a Florida-based media company that has multichannel, vertically integrated luxury consumer brands online and in print, has acquired Home Accents Today, Furniture/Today and six sister business-to-business publications and related online assets from Reed Business Information-US (www.reedbusiness.com/us)

JEGI CLARITY (www.jegiclarity.com), the leading independent investment bank for media, information, marketing services and related technologies, represented Reed Business Information-US in this transaction and acted as its exclusive financial advisor.

Sandow acquired Home Accents Today, Interior Design, Gifts & Decorative Accessories, Home Textiles Today, Casual Living, Furniture/Today, Kids Today, and Playthings. All acquired publications are business-to-business print and online brands serving the commercial and residential design and home furnishings and accessories industries.

Sandow will hire more than 100 employees with this transaction and substantially expand its current New York City operations. Reed Business Information’s Greensboro, NC facility will also become part of Sandow.
