JEGI CLARITY has advised Metric Theory in a cash and stock merger transaction with S4 Capital.

With primary offices and over 140 employees in San Francisco, Denver and New York, Metric Theory is a leading independent digital agency serving B2B, eCommerce and B2C clients with business-critical performance marketing needs across high-growth industry verticals. Leveraging proprietary workflow and analytics technology, Metric Theory designs and manages full-funnel performance marketing programs focused on customer journey, customer acquisition, conversion rate optimization and profitable revenue growth.

JEGI CLARITY’s sell-side advisory role caps a five-year, consultative relationship with the founder/owners of Metric Theory, and represents another bell weather digital marketing transaction for the firm. This is JEGI CLARITY's second major transaction with S4, following the sale of its client Media Monks to S4 in 2019.

S4 Capital plc is a new age/new era digital advertising and marketing services company founded by Sir Martin Sorrell. Its strategy is to build a purely digital advertising and marketing services business for global, multinational, regional, local clients and millennial-driven influencer brands. This will be achieved initially by acquiring and integrating leading businesses in two practice areas: Data & Digital Media, built around S4’s digital media consultancy, MightHive, and Content, built around its global digital production network, MediaMonks. S4’s emphasis is on "faster, better, cheaper" executions in an always-on consumer-led environment, with a unitary ownership and operating structure.
